Terms of use

These terms of use cover Padelscout Analytics (analytics.padelscout.io), our market data service for padel venues. They do not apply to the Padelscout Player Platform (padelscout.io).

1. Scope and provider

(1) Padelscout Analytics is provided by Karsten Will, Im Wiesengrund 2, 25474 Ellerbek, Germany, and Aljosha Köcher, Metzer Straße 10, 22049 Hamburg, Germany ("we" below). Our details are also given in the imprint.

(2) These terms apply to every account on Padelscout Analytics: to the free plan as much as to the paid plans. A customer's own terms and conditions do not apply, even if we do not expressly reject them.

(3) We offer the paid plans Pro and Investor only to businesses within the meaning of Section 14 of the German Civil Code (BGB): natural or legal persons and partnerships with legal capacity that act in the course of their trade, business or profession when they buy. When you buy online, you confirm this expressly.

2. Services

(1) Padelscout Analytics provides figures on the padel market and on individual padel venues in the countries we offer, together with tools to work with them. Which features an account opens depends on its plan.

(2) The figures are estimates based on our methodology and may differ from the actual values. They are not a guarantee. Section 9 remains unaffected.

(3) Padelscout Analytics is not advice. The figures and calculations, including those of the profitability calculator, are not investment, financial or pricing advice and do not replace your own due diligence. Decisions you base on them are your own responsibility.

(4) We keep developing Padelscout Analytics and may change, extend or restrict features, provided the core of the plan you bought is preserved and the change is reasonable for you. Features marked as beta may change or be discontinued at any time.

3. Your account

(1) To use the service you create an account. The details you give when you sign up must be accurate; if they change, let us know.

(2) An account belongs to one natural person and must not be shared by several people. Other people get an account of their own through an invitation, as far as the plan includes further users.

(3) Keep your sign-in details secret and protect them from access by others. If you notice that someone is misusing your account or knows your sign-in details, tell us at info@padelscout.io without delay.

(4) You use Padelscout Analytics in your browser. Automated access, for example through scripts, bots or downloading content in bulk, is not permitted beyond this normal use.

4. Free plan

(1) The free plan (Free) costs nothing. We do not ask for payment details for it.

(2) We decide which features the free plan includes, and its scope may change at any time. There is no entitlement to particular features.

(3) You can end the free plan at any time; we can end it by email with two weeks' notice.

(4) You can ask us to delete your account at any time by emailing info@padelscout.io. What we delete and what we keep is described in our privacy policy.

5. Paid plans

(1) The plans, what they include and their prices are those shown on our website at the time of purchase. Prices are per country and month, net of VAT at the statutory rate.

(2) A plan covers the countries you buy it for. Pro includes one user. Investor includes up to three users: the person who buys the plan and up to two more whom they invite to their team.

(3) The contract is concluded with the business on whose behalf the person buying acts. It runs for one year from its conclusion. We bill the price for the year yearly in advance.

(4) If you buy online, the contract is concluded when you complete the purchase with our payment provider Stripe, which also processes the payment. The contract renews for a further year each time unless you cancel it by the end of the term. Stripe charges the price for the following year to the payment method on file when the renewal begins. You cancel in Stripe's customer portal, which you reach from your account page. A cancellation takes effect at the end of the paid year, and your access continues until then. If a payment fails, access is suspended until it has been received. If payment is still not made after a reminder, we may terminate the contract for cause without notice.

(5) We announce price changes at least six weeks before the renewal; you may then cancel the contract by the end of the term.

(6) If online purchase is not available for your account, the contract is concluded by individual agreement: our offer and your acceptance by email. Term, billing and renewal then follow that agreement; in all other respects these terms apply.

(7) To change your plan or countries during the term, agree the change with us by emailing info@padelscout.io.

(8) When the contract ends, we continue your account as a free account.

6. Rights of use

(1) For the duration of your contract you receive the non-exclusive, non-transferable right to use the content of Padelscout Analytics for your own purposes; with a paid plan, for the internal purposes of the business it was bought for. For the free plan this applies to the content it shows.

(2) In particular, you may not publish, sell or pass on content to third parties, share your access with other people or systematically extract or copy content or transfer it into your own databases.

(3) You may show reports and excerpts to the advisers, banks and partners of your project, credited to Padelscout Analytics.

(4) Any other exception requires our prior written consent; an email is sufficient.

7. Obligations and suspension

(1) You use Padelscout Analytics only within these terms and the applicable law.

(2) If you breach these terms or misuse your account, we may suspend the account in whole or in part. Where reasonable, we notify you beforehand and give you the opportunity to remedy the breach. The suspension ends as soon as the breach has been remedied. If you are responsible for the suspension, the fee remains payable for its duration.

(3) The right of either party to terminate for cause remains unaffected.

8. Availability

(1) We provide Padelscout Analytics with an availability of 98% averaged over the year; we announce maintenance in advance where possible.

(2) Padelscout Analytics may be restricted or unavailable for a time for maintenance, updates and the security of the service.

9. Liability

(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health and under the German Product Liability Act (Produkthaftungsgesetz).

(2) For slight negligence we are liable only for breaches of material contractual obligations, meaning obligations whose fulfillment makes the proper performance of the contract possible in the first place and on whose fulfillment you may regularly rely (cardinal obligations). In that case our liability is limited to the damage that is typical for the contract and foreseeable.

(3) Paragraphs 1 and 2 apply to the free plan as they do to the paid plans. For the paid plans, strict liability for defects that already existed when the contract was concluded (Section 536a(1), first alternative, BGB) is excluded.

(4) These limitations also apply in favor of the people we engage to perform our obligations.

10. Data protection

How we process personal data is described in our privacy policy. You find it under "Privacy policy" on our website and in your account menu.

11. Changes to these terms

(1) We may change these terms with effect for the future, for example when the law or our services change.

(2) For paid plans we announce a change by email at least four weeks before it takes effect. You may object to it until it takes effect. If you do not object, the change counts as accepted; the announcement expressly points out this consequence of your silence. If you object, the previous terms continue to apply to your current contract until the end of its term. Changes to the service, the price or the term require your express agreement; price changes at renewal follow section 5, paragraph 5.

(3) For the free plan we announce a change by email at least two weeks before it takes effect; the notice points out that the change applies if you keep using the account afterwards. You can have the account deleted at any time.

12. Final provisions

(1) These terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.

(2) For consumers, the protection of the mandatory provisions of the country of their habitual residence remains unaffected.

(3) If any provision of these terms is or becomes invalid, the validity of the remaining provisions is unaffected. The statutory provision takes the place of the invalid one.
